ESCROWPK - TERMS AND CONDITIONS

Platform Name: EscrowPK
Operator: EscrowPK (Private) Limited, incorporated under the laws of Pakistan and registered with the Securities and Exchange Commission of Pakistan (SECP).

1. Acceptance of Terms
By registering for, accessing, or using EscrowPK ("Platform", "we", "us", "our"), you agree to be legally bound by these Terms and Conditions.
Electronic acceptance constitutes a legally binding agreement under applicable laws of Pakistan.
If you do not agree, you must not use the Platform.

2. Nature of the Service
2.1 Escrow Model
EscrowPK operates as a conditional, deal-specific escrow facilitation platform between Buyers and Sellers (including Transporters where applicable).

2.2 Custodial Capacity
EscrowPK acts solely as a neutral escrow agent in a fiduciary and custodial capacity. EscrowPK does not acquire ownership of deposited funds and does not treat such funds as company revenue.

2.3 Segregated Escrow Account
All deal-related funds are held in a designated escrow bank account separate from operational accounts. Escrow funds:
- are not commingled with operational funds
- are not used for salaries or expenses
- are not lent, invested, pledged, or used for financial gain

2.4 No Banking Activity
EscrowPK is not a bank and does not accept deposits for savings, investment, or interest. Funds are held temporarily and exclusively for specific transactions.

3. Ownership of Escrow Funds
3.1 Initial Beneficial Ownership
Escrow funds remain the beneficial property of the depositing Buyer until shipment obligations are fulfilled in accordance with the deal.

3.2 Conditional Seller Right
Upon confirmed shipment, the Seller acquires a conditional right to receive escrow funds, subject to:
- successful delivery
- expiration of the acceptance window without dispute
- dispute resolution in Seller's favor

3.3 Transfer of Ownership
Beneficial ownership transfers only upon satisfaction of release conditions.

3.4 No Security Interest
Escrow funds may not be pledged, assigned, or encumbered prior to release.

4. Eligibility and Verification
4.1 Users must provide accurate CNIC and contact information.
4.2 CNIC verification is mandatory for identity verification.
4.3 EscrowPK may require identity verification (KYC) prior to shipment confirmation, dispute escalation, or fund release.
4.4 Accounts involved in fraud, abuse, or prohibited conduct may be suspended or terminated.

5. Deal Creation
Each deal must clearly specify:
- description of goods/services
- amount
- delivery method
- delivery timeframe
- required images or documentation
Acceptance of a deal constitutes binding agreement.

5A. Deal Change Requests
5A.1 Either Buyer or Seller may request changes to deal terms (including amount, description, delivery address, or delivery timeframe) after a deal is created, subject to the other party's approval.
5A.2 Only one change request may be pending on a deal at a time.
5A.3 The other party has twelve (12) hours to approve or reject a change request. If no action is taken within this window, the request automatically expires and is treated as not approved.
5A.4 Upon mutual approval, changes take effect immediately and are recorded in the deal's audit trail, except for changes to Buyer or Seller email or phone number, which require additional administrative verification before taking effect.
5A.5 Amount Changes Before Deposit
If no deposit has been made, the escrow service fee is recalculated in full based on the new deal amount.
5A.6 Amount Changes After Deposit - Increase
If the deal amount increases after a deposit has been made, Buyer must deposit the additional amount. An additional escrow service fee applies only if the revised total deal amount exceeds PKR 29,999, calculated as the fee applicable to the new total less the fee already collected.
5A.7 Amount Changes After Deposit - Decrease
If the deal amount decreases after a deposit has been made, the excess amount already deposited (excluding the escrow service fee, which remains non-refundable per Section 10) is refunded to Buyer.
5A.8 Deal cancellation may not be requested as a change request once a deposit has been made; Users must raise a dispute instead (see Section 11).

6. Deposits
6.1 Deal-Specific Deposit
Buyer must deposit the agreed deal amount plus the applicable escrow service fee.

6.2 Purpose Limitation
Funds are restricted solely to the specific deal.

6.3 No Interest
Escrow funds do not accrue interest.

6.4 Payment Proof and Verification
Deposits may require proof submission and verification. Unverified or rejected proofs delay or block deal progress. Additional proof may be required.

6.5 No Third-Party Payments
Third-party payments are not allowed. Any third-party payment may be refunded net of the platform fee.

7. Shipment and Delivery
7.1 Shipment Eligibility
Shipment will not be allowed unless both parties' IDs (CNIC) and phone numbers are verified.

7.2 Seller Dispatch
Seller must dispatch within agreed timeframe.

7.3 Proof of Dispatch
Tracking or proof of dispatch must be provided where applicable.

7.4 Failure to Ship
Failure to ship may entitle Buyer to refund from the Refund Pool as determined by the dispute process.

8. Delivery Confirmation and Acceptance Window
8.1 Buyer Confirmation
Upon receipt of goods or completion of service, Buyer must confirm delivery within the Platform.
Upon confirmation, a twelve (12) hour acceptance window begins.

8.2 Release Option
During this period, Buyer may:
- release funds; or
- initiate a dispute.

8.3 Automatic Release
If Buyer does not release funds or initiate dispute within twelve (12) hours of delivery confirmation, the transaction shall be deemed accepted and funds shall automatically be released.
Buyer acknowledges that failure to act constitutes deemed acceptance.

8.4 Platform-Marked Delivery
If Seller provides credible and verifiable proof of delivery (including courier confirmation, tracking data, signed receipt, or equivalent evidence), EscrowPK may mark the deal as delivered.
Upon such marking, the twelve (12) hour acceptance window shall commence.

8.5 Exceptional Circumstances
EscrowPK may extend or pause the acceptance window in cases of fraud suspicion, system failure, force majeure, or regulatory instruction.

9. Funds Release
9.1 Release Conditions
Funds release when:
- Buyer confirms acceptance
- Acceptance window expires
- Dispute resolves in Seller's favor
- Parties mutually settle

9.2 Release Preconditions
Funds will be transferred to the Seller only after:
- Seller bank account is verified
- Seller phone number is verified
- Seller ID (CNIC) is verified

Refunds to Buyer will be processed only after:
- Buyer bank account is verified
- Buyer phone number is verified
- Buyer ID (CNIC) is verified

9.3 No Third-Party Bank Accounts
Third-party bank accounts will not be verified or used for release or refund.

9.4 Automated Processing
Release may be automated and is binding.

10. Fees and Refund Pool Structure
10.1 Escrow Service Fee
A non-refundable escrow service fee is charged per deal.
The fee is earned immediately upon deposit.

10.2 Refund Pool Definition
Example:
Deal Amount: PKR 10,000
Escrow Fee: PKR 300
Total Paid by Buyer: PKR 10,300
Refund Pool Available for Allocation: PKR 9,700
The "Refund Pool" is the net escrow principal after deduction of the escrow service fee.
The escrow service fee is not part of the Refund Pool.

10.3 Successful Completion
If funds are released to Seller, Seller receives the Refund Pool amount.

10.4 Full Refund
If refund is granted to Buyer, maximum refundable amount is the Refund Pool.

10.5 Partial Refund
In case of partial refund, the total distributable amount between Buyer and Seller shall not exceed the Refund Pool.
Dispute team or parties may allocate amounts within the Refund Pool.
Escrow service fees are never refundable.

11. Dispute Resolution Framework
11.1 Initiation
Upon dispute initiation, escrow funds are frozen and the dispute enters the Response Stage.

11.2 Response Stage (48 Hours)
The responding party has forty-eight (48) hours to respond and submit evidence.
Failure to respond within 48 hours results in automatic resolution in favor of the initiating party.
Failure to respond is deemed inability or unwillingness to contest.

11.3 Negotiation Stage (48 Hours)
If response is submitted, parties enter a forty-eight (48) hour negotiation period.
Parties may submit offers and accept or reject proposals.
If settlement is reached, funds are allocated from the Refund Pool accordingly.

11.4 Escalation Stage (24 Hours)
If no settlement occurs, either party may escalate by paying a PKR 1,000 dispute fee.
Upon payment by one party, the other party has twenty-four (24) hours to pay.
If the other party fails to pay within 24 hours, the dispute is automatically resolved in favor of the paying party.

11.5 Arbitration Stage
If both parties pay the dispute fee, EscrowPK conducts internal arbitration:
- reviews all evidence
- issues a final allocation decision
The decision:
- is final for platform purposes
- is not subject to internal appeal

11.6 Dispute Fee Allocation
If one party fully prevails:
- that party receives full refund of its dispute fee
- the losing party's fee is retained
If allocation is partial (e.g., 60% / 40%):
- dispute fees are refunded proportionally

11.7 Evidence Standards
Evidence must be clear, original, and relevant. Edited or unclear evidence may be rejected.
EscrowPK may decide disputes based solely on admissible evidence.

11.8 External Legal Rights
Parties may pursue claims against each other in a court of competent jurisdiction.
EscrowPK acts solely as a neutral facilitator and shall not be liable for disputes between users except in cases of proven willful misconduct or gross negligence.

12. Freight Deals (If Applicable)
For freight deals, Buyer may propose a release adjustment after delivery.
Transporter may accept or reject the adjustment before release.

13. Returns and Refunds (Where Required)
Refund eligibility for quality disputes may require return shipment with tracking and evidence.
Items returned in worse condition may be deemed non-refundable.

14. Prohibited Transactions
Users may not use EscrowPK for:
- illegal goods or services
- money laundering
- fraud
- sanctioned transactions
- gambling
- regulatory evasion
EscrowPK may freeze funds pending investigation.

15. Disclaimer of Warranties
The Platform is provided "as is."
EscrowPK does not guarantee uninterrupted service or dispute outcomes.

16. Limitation of Liability
Except for willful misconduct or gross negligence, EscrowPK's total liability shall not exceed the escrow service fees paid for the disputed transaction.
EscrowPK is not liable for product quality, courier failures, or user misconduct.

17. Governing Law
These Terms are governed by the laws of Pakistan.

18. Amendments
Continued use after updates constitutes acceptance.

19. Related Policies
These Terms and Conditions are supplemented by EscrowPK's published policies, including our Privacy Policy, Dispute Policy, Refund Policy, Cookie Policy, AML Policy, KYC Policy, Risk Policy, and Compliance Policy, all available at escrowpk.com/policies. Those policies form part of the agreement between you and EscrowPK and should be read together with these Terms.
